Standard Terms and Conditions of Purchase – Rico System
- GENERAL
These terms and conditions of purchase apply to all deliveries from Rico System A/S (“Rico”), unless otherwise agreed in writing.
Any terms and conditions of the Buyer that deviate from these terms and conditions shall only apply if they have been accepted in writing by Rico.
- OFFERS AND ORDERING
Offers are binding for 30 days from the date of the offer, unless otherwise stated.
When placing an order, the buyer must provide comprehensive information about the car brand, year, length, number of side doors, standard wall/comfort wall, delivery date for the car, dealer with contact details, and chassis number as soon as this is available.
In the case of financing, the Buyer must also provide the leasing company with contact details and billing information.
The buyer is responsible for delays, errors, and additional costs that can reasonably be attributed to the buyer's failure to fulfill their duty to provide information as mentioned above.
Changes to orders after confirmation must be approved in writing and may result in changes to the price and delivery time.
- PRICES AND PAYMENT
All prices are quoted excluding VAT. Terms of payment are 14 days net from the invoice date.
In the event of late payment, interest will be charged in accordance with Danish interest legislation.
- DELIVERY
Delivery is made in accordance with the agreed delivery terms. The risk for the goods passes to the Buyer upon delivery.
Stated delivery times are indicative. Delays beyond Rico's control do not entitle the Buyer to compensation.
The buyer must inspect the goods upon receipt. Any defects must be reported without undue delay and no later than within 8 days.
- WARRANTY AND COMPLAINTS
Rico provides a 10-year warranty on product and material defects from the date of delivery.
The warranty covers repair or replacement of parts due to material or manufacturing defects. Rico will cover the necessary costs for parts and replacement when this cannot be done by the user alone.
If the fault can be easily repaired by the user with available tools, Rico will supply the necessary parts and instructions for repair free of charge.
The warranty does not cover faults and damage caused by:
Incorrect installation beyond Rico's control, incorrect use, or lack of maintenance.
Modifications or interventions carried out by anyone other than Rico or an authorized installer.
Normal wear and tear, external influences, accidents, or circumstances beyond Rico's control.
Complaints must be reported without undue delay and no later than 14 days. Rico must take the necessary measures to remedy the situation within a reasonable time.
- LIMITATION OF LIABILITY
Rico is not responsible for the transport of goods vehicles, operating losses, or other indirect costs that may arise in connection with delivery, warranty, complaints, or other matters related to the agreement with the Buyer.
Rico's total liability is limited to the invoice value of the specific delivery.
- FORCE MAJEURE
Rico is not responsible for delays or shortages caused by circumstances beyond our control, such as strikes, pandemics, transport problems, or supplier failures.
- CHOICE OF LAW AND DISPUTE RESOLUTION
These terms and conditions of purchase are governed by and shall be interpreted in accordance with Danish law.
Any dispute between the parties shall be resolved through negotiation.
If negotiations do not lead to a resolution, either party may bring the dispute before the Danish courts.
